Purchase Terms & Conditions

These Purchase Terms & Conditions apply to all services, consultations, digital offerings, and other paid engagements purchased through By Valerie Jana, operated by Locals World LLC ("Company," "we," "us," or "our").
By completing a purchase, submitting payment, or booking a paid service, you ("Client," "Customer," or "you") acknowledge that you have read, understood, and agreed to the following terms.
1. Services and Purchases
By Valerie Jana provides professional consulting and creative services, which may include:
Brand strategy and consulting.
Creative direction and brand development.
Public relations and marketing strategy.
Business development and partnership consulting.
Retail introductions and outreach.
Editorial features and founder interviews.
Other creative or consulting services described on the applicable service page or proposal.
Each purchase includes only the services, deliverables, and time specifically outlined in the applicable service description, invoice, or written agreement.
Please review the service description carefully before purchasing.
2. Payment and Processing
All prices are listed in U.S. dollars unless otherwise stated.
Payment is required according to the terms presented at checkout or in an individual proposal.
We may use third-party payment processors, including Square, to securely process transactions.
By submitting payment, you authorize the applicable payment processor to charge your selected payment method for the amount due.
Any additional services, expenses, or work outside the original scope must be approved separately and may incur additional charges.
3. Refund Policy
Due to the customized nature of consulting, creative direction, editorial, and professional services, all purchases are generally final once work has commenced.
Unless otherwise stated in the individual service description or written agreement:
Completed consultations and sessions are non-refundable.
Deposits are non-refundable once work has commenced or resources and time have been committed.
Customized research, strategy, creative work, and editorial preparation are non-refundable once delivered or performed.
If a service cannot be fulfilled by us, we will work with you to arrange an alternative or provide an appropriate refund for the undelivered portion.
Nothing in this policy limits refund rights required under applicable law.
4. Scheduling and Rescheduling
For services involving scheduled consultations, interviews, or meetings:
Clients are responsible for attending at the agreed date and time.
Rescheduling requests should be submitted at least 24 hours in advance.
Missed appointments or cancellations with less than 24 hours' notice may be considered forfeited.
If we need to reschedule, we will communicate with you and arrange a reasonable alternative.

5. Client Responsibilities
To ensure a productive and successful engagement, clients agree to:
Provide accurate information and necessary materials.
Complete requested questionnaires or preparation materials.
Attend scheduled sessions on time.
Communicate project needs and expectations clearly.
Provide timely feedback and approvals.
Obtain permission to share any third-party materials, images, or intellectual property provided to us.
Delays in receiving information, materials, or approvals may affect project timelines and delivery dates.
6. Scope, Revisions, and Additional Work
Each service includes the deliverables and level of support outlined in its description or individual agreement.
Requests that fall outside the original scope, including additional meetings, extensive revisions, new deliverables, or expanded project requirements, may require additional fees.
Any additional work or fees will be communicated for approval before proceeding.
7. Results and Expectations
Our services are intended to provide professional guidance, strategic recommendations, creative direction, introductions, and customized deliverables.
We do not guarantee specific business results, including:
Increased revenue or sales.
Retail placements or wholesale agreements.
Media coverage or press opportunities.
Brand partnerships or sponsorships.
Audience growth or social media engagement.
Business funding or investment.
Specific commercial or financial outcomes.
Results depend on multiple factors, including market conditions, client implementation, third-party decisions, and business operations.
Purchasing a service does not guarantee a particular business outcome.
8. Intellectual Property and Usage Rights
All original frameworks, processes, templates, methodologies, written materials, and creative concepts developed or owned by By Valerie Jana or Locals World LLC remain our intellectual property unless otherwise agreed in writing.
Clients receive permission to use final deliverables for their intended business purposes, subject to the terms of their individual service agreement.
Clients may not reproduce, resell, distribute, or commercially exploit proprietary materials, frameworks, or resources without written permission.
Ownership and licensing of custom creative deliverables will be established in the applicable proposal or written agreement.
9. Editorial Features and Published Content
Certain purchases may include editorial services, founder interviews, written features, or publication on Locals World.
Unless otherwise stated in the applicable service description:
The purchase covers the specific editorial deliverables described at checkout.
Interviews and written features are developed through an editorial process.
Editorial direction, writing, and final presentation remain at the discretion of the publisher.
The purchase does not guarantee sales, publicity, press coverage, or audience reach.
Clients are responsible for the accuracy of information and materials they provide.
Additional revisions, interviews, or promotional deliverables may incur additional fees.
Payment for an editorial feature does not constitute a guarantee of a particular editorial opinion, endorsement, or commercial result.
10. Confidentiality
Information shared during private consulting engagements will be treated with professional discretion.
We will take reasonable steps to protect confidential business information and will not knowingly publish private client information without permission, except where disclosure is required by law or necessary to provide agreed services.
11. Third-Party Platforms and Services
Certain services may involve third-party websites, booking platforms, payment processors, retailers, media outlets, or business partners.
We are not responsible for the independent actions, policies, decisions, or performance of third parties.
Any agreements entered into directly between a client and a third party remain the responsibility of those parties.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Locals World LLC and Valerie Jana are not liable for indirect, incidental, special, or consequential damages arising from the purchase or use of our services.
We are not responsible for financial losses, missed opportunities, or business outcomes resulting from the implementation of recommendations or third-party decisions.
Nothing in these terms excludes liability that cannot legally be excluded.
13. Changes to Services and Terms
We reserve the right to update service descriptions, pricing, availability, and these Purchase Terms & Conditions.
Changes will not retroactively alter the agreed scope of an existing paid engagement unless mutually agreed in writing or required by law.
The version of the Purchase Terms presented at the time of purchase will generally govern that transaction.
14. Governing Law
These Purchase Terms & Conditions are governed by the laws of the State of Florida, without regard to conflict-of-law principles, subject to applicable law.
